Terms of Service

By accessing or using AutoReplyr ("the Service"), operated by AutoReplyr Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including the desktop application and any associated web interfaces.

AutoReplyr provides automated messenger response capabilities through a desktop application. The Service allows users to configure and run auto-responder bots for messenger communications.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security of your password and accept all risks of unauthorized access to your account
• Notify us immediately if you discover or suspect any security breaches related to your account

You are responsible for all activities that occur under your account. You may not share your account credentials or allow others to access your account.

The Service operates on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our pricing page.

Billing Cycle

Subscriptions are billed on a recurring monthly basis. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Payment Processing

All payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your payment method. Stripe's terms of service apply to payment processing.

Refunds

Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.

We offer a 7-day free trial for new users. During the trial period, you have full access to the Service's features.

To start a free trial, you must provide a valid payment method. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged the applicable subscription fee.

Each user is entitled to one free trial only. Creating multiple accounts to obtain additional free trials is prohibited and may result in account termination.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Send spam, unsolicited messages, or messages that violate anti-spam laws
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use the Service to harass, abuse, or harm another person or entity
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated scripts to collect information from or interact with the Service beyond normal use

The Service and its original content, features, and functionality are and will remain the exclusive property of AutoReplyr Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process that content solely for the purpose of providing the Service to you.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge that your data, including messages and attachments processed through the Service, is stored on our servers. We implement industry-standard security measures to protect your data.

You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including obtaining any necessary consents from individuals whose messages are processed through the Service.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

We are not responsible for the content of messages sent or received through the Service, nor for any actions taken by messenger platforms in response to your use of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AUTOREPLYR INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You may terminate your account at any time by contacting us or using the account settings in the Service.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
